1. Introduction

Welcome to ASETLAYER.

These Terms of Use ("Terms") govern your access to and use of ASETLAYER's website, applications, products, APIs, and related services (collectively, the "Services").

These Terms constitute a legally binding agreement between you and ASETLAYER TECHNOLOGIES LTD("ASETLAYER," "we," "our," or "us"). By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms should be read together with our Privacy Policy and any other policies, notices, or service-specific terms that may apply to the Services you use. In the event of any conflict between these Terms and any applicable service-specific terms, the service-specific terms will prevail to the extent of the conflict.

We may update these Terms from time to time in accordance with Section 13 ("Changes to These Terms"). Your continued use of the Services after any updated Terms become effective constitutes your acceptance of those changes.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"Account" means the account created by a user to access and use the Services.

"Applicable Law" means all laws, regulations, rules, regulatory requirements, and legally binding directives applicable to the Services or the parties.

"Business Day" means any day other than a Saturday, Sunday, or public holiday in the jurisdiction in which the relevant Service is provided, unless otherwise specified.

"Content" means any text, images, graphics, logos, software, information, data, or other materials made available through the Services.

"Payment Identity" means a unique identifier or username assigned or approved by ASETLAYER that allows users to receive payments through supported payment methods without exposing their underlying financial account details.

"Services" means the website, applications, APIs, products, payment solutions, virtual account services, and any other services provided by ASETLAYER.

"User," "You," or "Your" means any individual or business that accesses or uses the Services.

"Virtual Account" means a payment account or account details issued through ASETLAYER or its regulated partners that enables users to receive payments in supported currencies.

3. Eligibility

To access or use the Services, you must meet the following eligibility requirements:

1. You must be at least 18 years of age;
2. If you are registering or using the Services on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms;
3. You must provide accurate, complete, and up-to-date information when creating or maintaining your Account;
4. You must not use the Services if doing so would violate any applicable law, regulation, sanctions, or legal restriction applicable to you; and
5. You must successfully complete any identity verification, business verification, or other compliance checks that we or our regulated partners may require before you can access certain Services.

We reserve the right to refuse, suspend, or terminate access to the Services if we reasonably believe that you do not meet these eligibility requirements or have provided false, misleading, or incomplete information.

4. Account Registration and Security

To access certain Services, you must create an Account by providing the information requested during the registration process. You agree to provide accurate, complete, and up-to-date information and to promptly update your Account information whenever it changes.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You must not share your Account credentials with any other person or permit unauthorized access to your Account.

You must notify us immediately if you become aware of any unauthorized access to, or suspected compromise of, your Account or security credentials. We may take reasonable steps to protect your Account, including restricting access, requesting additional verification, or suspending certain activities until the security of the Account has been confirmed.

You are responsible for ensuring that your use of the Services complies with these Terms and all applicable laws. We reserve the right to refuse registration, restrict access, suspend, or terminate an Account where permitted under these Terms or applicable law.

5. Identity Verification (KYC/KYB)

To comply with applicable laws, regulatory requirements, and our internal compliance obligations, you may be required to complete identity verification ("Know Your Customer" or "KYC") or business verification ("Know Your Business" or "KYB") before accessing certain Services or carrying out certain transactions.

You agree to provide accurate, complete, and up-to-date information and documentation requested for verification purposes. You authorize ASETLAYER and its regulated partners or authorized service providers to verify your identity or business using the information you provide and any other information lawfully available for verification purposes.

We may request additional information or documentation at any time where required to verify your identity, assess risk, comply with applicable law, investigate suspected fraud, or satisfy regulatory obligations.

We reserve the right to delay, restrict, suspend, or refuse access to any part of the Services if verification cannot be completed successfully, if the information provided is inaccurate or misleading, or where required by applicable law or regulatory requirements.

Completion of identity or business verification does not guarantee continued access to the Services. We may conduct ongoing monitoring and periodic reviews where required by applicable law or our compliance obligations.

6. Our Services

ASETLAYER provides technology-enabled financial services designed to simplify cross-border payments for individuals and businesses. Depending on your location, eligibility, and applicable regulatory requirements, the Services may include:

1. Receiving international payments through supported payment methods;
2. Access to virtual accounts in supported currencies;
3. Cross-border payment services;
4. Currency conversion for supported currencies;
5. Payment initiation and transaction management;
6. APIs and other tools that enable businesses to integrate with our Services; and
7. Additional products, features, or services that we may introduce from time to time.

Certain Services may be provided directly by ASETLAYER, while others may be delivered through licensed financial institutions, payment service providers, regulated partners, or other authorized third-party service providers. The availability of any Service may vary depending on your jurisdiction, regulatory requirements, eligibility, and the capabilities of our partners.

We reserve the right to modify, suspend, discontinue, or introduce any part of the Services at any time, with or without notice, where permitted by applicable law.

7. Payments, Transactions, Virtual Accounts, and Fees

Certain Services enable you to receive, send, or facilitate payments using payment methods supported by ASETLAYER. You are responsible for ensuring that all payment instructions and transaction details you provide are accurate and complete.

Where applicable, ASETLAYER may provide you with access to one or more virtual accounts through its regulated partners. Virtual accounts are intended solely for the purposes authorized by ASETLAYER and must not be used for any unlawful, fraudulent, or unauthorized activity.

You acknowledge that the availability, processing time, settlement time, exchange rates, transaction limits, and supported payment methods may vary depending on the nature of the transaction, your location, applicable law, and the capabilities of our regulated partners.

You are responsible for reviewing and confirming the details of each transaction before authorizing it. Except where required by applicable law or where an error is attributable to ASETLAYER or its regulated partners, completed or authorized transactions may not be cancelled, reversed, or refunded.

You agree to pay any applicable fees associated with the Services. Where applicable, fees will be disclosed before a transaction is completed or otherwise communicated to you through our Services. We reserve the right to introduce, modify, or remove fees at any time, subject to applicable law and reasonable notice where required.

8. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

You must not:

1. Use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
2. Provide false, inaccurate, or misleading information;
3. Impersonate another person or entity, or misrepresent your identity or authority;
4. Use the Services to facilitate money laundering, terrorist financing, sanctions evasion, fraud, or any other prohibited financial activity;
5. Interfere with, disrupt, or compromise the security, integrity, or availability of the Services;
6. Attempt to gain unauthorized access to any part of the Services, other user accounts, or systems connected to the Services;
7. Use the Services in a manner that infringes the intellectual property or other legal rights of any person or entity;
8. Reverse engineer, decompile, copy, modify, or otherwise attempt to derive the source code or underlying technology of the Services, except where permitted by applicable law; or
9. Use the Services in any manner that could damage, disable, overburden, or impair the operation of the Services.

We reserve the right to investigate any suspected violation of these Terms and to suspend, restrict, or terminate access to the Services where we reasonably believe that these Terms, applicable law, or our policies have been violated.

9. Suspension and Termination

You may stop using the Services and close your Account at any time, subject to the completion of any pending transactions and our legal or regulatory obligations.

We reserve the right to suspend, restrict, or terminate your access to the Services, with or without prior notice where permitted by applicable law, if we reasonably believe that:

1. You have violated these Terms or any applicable policy;
2. You have provided false, inaccurate, or misleading information;
3. Your use of the Services poses a security, fraud, compliance, or operational risk;
4. We are required to do so by applicable law, a regulatory authority, or a competent government agency; or
5. Your continued access could adversely affect the security, integrity, or operation of the Services.

Suspension or termination of your Account does not affect any rights, obligations, liabilities, or transactions that arose before the suspension or termination became effective.

Where your Account is suspended or terminated, we may retain and process your information for as long as necessary to comply with applicable legal, regulatory, tax, accounting, fraud prevention, or record-keeping requirements, in accordance with our Privacy Policy.

10. Intellectual Property

The Services, including all software, technology, APIs, designs, text, graphics, logos, trademarks, service marks, trade names, content, and other materials made available through the Services, are owned by or licensed to ASETLAYER and are protected by applicable intellectual property and other laws.

Subject to these Terms, ASETLAYER grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services solely for their intended purpose.

Except as expressly permitted by these Terms or applicable law, you must not copy, reproduce, modify, distribute, publish, sell, license, reverse engineer, decompile, create derivative works from, or otherwise exploit any part of the Services without our prior written consent.

Nothing in these Terms grants you ownership of, or any rights in, ASETLAYER's intellectual property, trademarks, branding, or other proprietary rights except for the limited right to use the Services in accordance with these Terms.

If you provide suggestions, feedback, ideas, or other comments regarding the Services, you acknowledge that ASETLAYER may use such feedback without restriction or obligation to compensate you.

11. Third-Party Services

Certain aspects of the Services may be provided, supported, or enabled by licensed financial institutions, payment service providers, identity verification providers, cloud service providers, communications providers, analytics providers, and other trusted third-party service providers or regulated partners.

Your use of certain features or services may also be subject to the terms, conditions, and privacy policies of those third parties. ASETLAYER is not responsible for the products, services, websites, or content of third parties except to the extent required by applicable law.

While we carefully select service providers and partners that support our Services, we do not control the availability, performance, or actions of third-party services. Accordingly, ASETLAYER shall not be liable for any interruption, delay, or failure caused by third-party services beyond our reasonable control.

Nothing in this section limits any responsibility that cannot be excluded under applicable law.

12. Disclaimers and Limitation of Liability

We are committed to providing reliable, secure, and high-quality Services. However, the availability and performance of the Services may occasionally be affected by maintenance, technical issues, third-party service providers, or circumstances beyond our reasonable control.

To the fullest extent permitted by applicable law, ASETLAYER does not guarantee that the Services will always be uninterrupted, error-free, or continuously available.

To the fullest extent permitted by applicable law, ASETLAYER disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

ASETLAYER shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data, or other intangible losses arising out of or relating to your access to or use of the Services, except where such liability cannot be excluded or limited under applicable law.

Without limiting the foregoing, ASETLAYER shall not be liable for any delay, interruption, or failure in the provision of the Services resulting from circumstances beyond our reasonable control, including failures of telecommunications networks, internet services, banking systems, payment infrastructure, regulated partners, third-party service providers, cyberattacks, government actions, labor disputes, natural disasters, or other force majeure events.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

13. Changes to These Terms

We may amend, modify, or update these Terms from time to time to reflect changes in our Services, legal or regulatory requirements, industry standards, business operations, or for any other legitimate reason.

Where required by applicable law, we will provide reasonable notice of any material changes through our website, application, email, or other appropriate communication channels before the updated Terms become effective.

Your continued access to or use of the Services after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services and, where applicable, close your Account.

The most current version of these Terms will always be made available through our Services and will indicate the date on which they were last updated.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

We encourage you to contact us first to resolve any complaint, concern, or dispute relating to the Services. We will make reasonable efforts to resolve disputes promptly and in good faith.

If a dispute cannot be resolved amicably, it shall be submitted to the courts of competent jurisdiction in the Federal Republic of Nigeria, unless otherwise required by applicable law.

Nothing in these Terms limits any rights or remedies that may be available to you under applicable law.
